TERMS AND CONDITIONS

The Web Site is owned and made available by Take Note Magazine, LLC (“Take Note Magazine, LLC” or “we” or “us” or “our”). YOUR USE OF OUR SITE TELLS US YOU HAVE READ AND AGREED TO THESE TERMS AND CONDITIONS; IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR OTHERWISE USE THIS WEB SITE. Proprietary Rights of Content

Terms of Use
You may use the Content online only, and solely for your personal, non-commercial use, and you may download or print a single copy of any portion of the Content solely for your personal, non-commercial use, provided you do not remove any trademark, copyright or other notice from such Content. Contests, Promotions, Simulations or Games
From time to time, Take Note Magazine, LLC may offer as part of the Services, either on or through the Web Site, contests, promotions, simulations or games (collectively, “Games”). To participate in Games, players may be required to complete a registration form. Upon submission, all registrations become the exclusive property of Take Note Magazine, LLC. Registered users (each, a “Registered User”) are permitted only one account. Registered Users with more than one account are subject to immediate disqualification from any Game, unless the description of the Game expressly invites a user to register multiple times. Take Note Magazine, LLC at its sole discretion, may suspend or revoke the registration of any Registered User. Registered Users agree to release Take Note Magazine, LLC and its agents, advertisers, sponsors or promotional partners, from all liability arising from participation in any of Game located on, or accessed through, the Web Site. Take Note Magazine, LLC is not responsible for technical, hardware or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions which may limit any Registered User’s ability to participate in any Game.

Each Registered User agrees to be bound by the rules of any Game and by the rules of fair play and consideration of fellow Registered User. A Registered User who violates any of the rules or guidelines for behavior published on the Web Site, or the site where the Game is conducted, are subject to immediate disqualification and revocation of their registration. Take Note Magazine, LLC is under no obligation to award any prize to any Registered User who violates a published rule or guideline. Some Games may offer prizes to Registered Users. All prizes are subject to the official game or contest rules published with that Game.

Take Note Magazine, LLC reserves the right to cancel, terminate or alter any Game or the rules thereof at any time without prior notification.

Registration
Registration is not required to view certain Content. However, certain features or services offered on or through the Web site may require you to register (for example, if you wish to post a comment to our open forum Blog). If you become a Registered Member of takenotemagazine.com, you accept responsibility for all activities that occur under your Registration Account. You agree to provide true, accurate, complete, and correct information at the time of registration, and to update promptly this information as needed so that it remains true, accurate, complete, and correct. User Content Posting Rules
Any decisions as to whether User Content violates any Posting Rule will be made by us in its sole discretion and after we have actual notice of such posting. When you provide User Content, you agree not to provide the following

  • violates or encourages the violation of any municipal, state, federal or international law, rule, regulation or ordinance.
  • interferes with any third party’s uninterrupted use of www.TakeNoteMagazine.com.
  • advertises, promotes or offers to trade any goods or services, except in areas specifically designated for such purpose.
  • uses or attempt to use another’s Registration Account, password, service or system except as expressly permitted by these Terms and Conditions.
  • uploads or transmits viruses or other harmful, disruptive or destructive files, material or code.

Take Note Magazine, LLC makes no representation that materials or Content available through www.TakeNoteMagazine.com are appropriate or available for use outside the United States and access to them from territories where their contents are illegal is prohibited. You may not use takenote magazine.com or export the Content in violation of U.S. export laws and regulations. Modifying these Terms

Statute of Limitations

No Class Actions
You agree no claim subject to these Terms and Conditions may be brought as a class action.

Severability
If for any reason, any provision of these Terms and Conditions is found unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the parties as reflected in that provision, and the remainder of the Terms and Conditions shall continue in full force and effect.

No Waiver
Any failure of Take Note Magazine, LLC to enforce or exercise any provision of these Terms and Conditions or related right shall not constitute a waiver of that right or provision.

Section Titles
The section titles used in these Terms and Conditions are purely for convenience and carry with them no legal or contractual effect.

No Third Party Beneficiaries
You agree that that, except as otherwise expressly provided in these Terms and Conditions, there are no third party beneficiaries to these Terms and Conditions

Conflicts
In the case of a conflict between these Terms and Conditions and the terms of any electronic or machine readable statement or policy (for example, a P3P electronic privacy policy), these Terms and Conditions shall control. Similarly, in case of a conflict between these Terms and Conditions and our Privacy Policy, these Terms and Conditions control. These Terms and Conditions contain the entire agreement between you and us regarding the use of the Web site.
